Miya Terms of Use

THIS TERMS OF USE AGREEMENT (the “Terms”) governs your use of Miya, including, without limitation, the Miya desktop application and the Miya web portal (such as https://miya.fm) (collectively, the “Service”). By accessing or using the Service, clicking on the “I Accept” button, and/or completing the registration process, you acknowledge that you have read and understood these Terms, and, as a condition to your use of the Service, you agree to be bound by these Terms. If you are not eligible (see below), or do not agree to these Terms, then you do not have our permission to use the Service and you may not access or use the Service.

There may be information on our site that contains typographical errors, inaccuracies or omissions, including descriptions, pricing, availability, and other information. We reserve the right to correct any information on our Services without prior notice.

These terms apply to all users. If any term or provision of these Terms is declared by a court of competent jurisdiction to be illegal or in conflict with any law, this will not affect the validity of any other terms.

1. Introduction and Eligibility

Please read these Terms carefully before using the Miya Service. Your use of, and participation in, the Service may be subject to additional terms for specific Miya products or tools, as further described below.

1.1 Service provider

The services under Miya are operated globally by TIMEDOMAIN, INC. However, in Mainland China, certain operational responsibilities are managed by Beijing Timedomain Technology Co., LTD. and Qingdao Timedomain Technology Co., LTD. This structure ensures compliance with local laws and regulations, providing a tailored and legally compliant service experience in each region.

1.2 Revisions to the Agreement

WE RESERVE THE RIGHT TO CHANGE THE AGREEMENT AT ANY TIME, IN OUR SOLE DISCRETION. PLEASE CHECK THESE TERMS PERIODICALLY FOR CHANGES. When changes are made, Miya will make a new copy of the Agreement available on the website and within the application, or otherwise posted through the Services. We will also update the “Last Updated” date at the top of these Terms. Any changes to the Agreement will be effective immediately for new users of the Service and on the stated Effective Date for existing users (collectively, “Users”). If you do not accept the revised agreement, you may choose to terminate your use of the Miya Services. If you continue to use the Service, it will be deemed to have accepted the revised Agreement.

1.3 Eligibility

By accessing or using the Service or otherwise agreeing to these Terms, you represent and warrant to us that: (a) you are at least 18 years old, or if you are under the age of 18 you have obtained consent from a parent or legal guardian to use the Service; (b) you have not previously been suspended or removed from the Service; and (c) your use of the Service is in compliance with any and all applicable laws and regulations.

1.4 Age Restrictions

Individuals who are 13 or older but under the age of majority in their jurisdiction may use the Miya Service only under the supervision of a parent or legal guardian who agrees to be bound by this Agreement. Children under the age of 13 are not permitted to use the Service. If you become aware of someone under the age of 13 using the Service, please contact us at hello@miya.fm. If you are a parent or legal guardian of a child under 13 who has created an account, please provide relevant information such as the UserID to help us identify the account, so we can close the account and delete any associated personal information.

2. The Service

2.1 General

The Service offers a platform that turns what you tell it — moments, complaints, events, daily life — into generated songs and videos (“Generated Content”). The Service is owned and operated by Miya, and the visual interfaces, graphics, design, compilation, information, data, computer code (including source code or object code), products, software, services, and all other elements of the Service provided by Miya are protected by intellectual property and other laws. In addition to the foregoing, all information, data, text, software, music, sound, photographs, graphics, video, messages, tags, and/or other materials included and made available to you by Miya in the Service are the property of Miya or its third-party licensors (the “Miya Property”). You may only use Miya Property as provided herein, and Miya reserves all rights to the Miya Property not granted expressly in these Terms.

2.2 Your Prompts and Generated Content

You retain any rights you hold in the text prompts and other material you submit to the Service (“Your Content”). By submitting Your Content you grant Miya a licence to process it for the purpose of providing the Service, including generating songs and videos from it.

As between you and Miya, the songs and videos the Service generates from Your Content belong to you, and all rights in them accrue exclusively to the user whose account generated them. Generated Content is licence-free for personal and commercial use for as long as your account remains in good standing and, where a paid tier applies, for as long as your membership is valid; commercial rights may vary by membership tier and by the specific voice or model licence used, as described on our pricing page. Miya retains all rights in the underlying models, voices, and software used to produce Generated Content, and nothing here grants you rights in the Miya Property. Generated Content may be produced from your account only through the Miya Service.

Generated Content stays private to your account unless you choose to publish it. If you publish Generated Content to a public surface of the Service, you grant Miya a non-exclusive, worldwide, royalty-free licence to host, display, reproduce, and distribute it on that surface and to promote the Service, for as long as you leave it published. You may remove it at any time, after which we will stop displaying it, though copies already made by other users or cached by third parties may persist.

By submitting Your Content, you confirm that you are the creator and owner of it, or you possess the necessary licences, rights, consents, releases, and permissions to use it and to authorise us to use it as envisaged by our Services. You are solely responsible for any content you generate using material that you do not own or for which you lack the necessary permissions.

2.3 Software License

Subject to your compliance with the Agreement, Miya grants you a limited non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use a copy of the Miya application on devices that you own or control and to run such copy of the software solely for your own personal or internal business purposes.

2.4 Certain Restrictions

Miya reserves all rights not granted in the Agreement. You are required to comply with the following prohibitions to ensure lawful, secure, and respectful use of our services. Violation of these prohibitions may lead to suspension or termination of your access to Miya. In using the Service, you shall not:

• Use Miya in any manner that violates applicable local, national, or international laws.
• Engage in activities that infringe on the rights of others, including copyright, right of publicity, right of likeness, intellectual property rights, or activities that defame or discriminate against individuals based on race, colour, national or ethnic origin, religion, age, sex, gender, sexual orientation, physical disability, or other protected characteristics.
• Engage in any fraudulent activities, including impersonating others or claiming false affiliations.
• Engage in harassment, threats, or abuse toward any person, or post harmful, obscene, or offensive material.
• Exploit or harm minors in any way.
• Delete or alter any intellectual property notices on Miya and its copies.
• Copy, reproduce, distribute, sell, republish, download, display, post, or transmit any Miya Property in any form or by any means, except as expressly stated herein.
• Reverse engineer, disassemble, decompile, or otherwise attempt to discover the source code of Miya.
• Bypass or disable security-related features, including those that prevent or limit use or copying of any content.
• Interfere with the operation of Miya, its associated services, or any network, equipment, or server connected to the service.
• Upload, disseminate, or execute any viruses or other harmful code that may damage Miya, its services, or other users’ systems.
• Use unauthorised third-party software, plug-ins, or systems to log in, use, or interact with Miya software and services.
• Use any automated systems, such as scripts to send messages or data mining tools, unless authorised through our public API.
• License, sell, rent, lease, transfer, assign, reproduce, distribute, host, or otherwise commercially exploit any rights provided by the Service without express written consent.
• Make improper use of our support services or submit false reports of abuse or misconduct.

2.5 Updates

You acknowledge and agree that Miya may require you to accept updates to the Service that you have installed on your device. You acknowledge and agree that Miya may update the Service with or without notifying you.

3. Account Creation and Your Account

3.1 Registering an Account

To access certain features of Miya, you are required to register and create a user account. You can register using your email and password, Google account authorisation, or other supported sign-in methods. By clicking “Sign up” or “Log in”, you agree to these Terms and consent to be bound by them.

By registering an account with Miya, you agree to receive marketing emails and product updates from Miya. You can opt out of these communications at any time by following the unsubscribe link in the emails.

3.2 Payment Information

If you choose any paid subscriptions or one-time purchases, you will be asked to provide your payment information. By providing this information, you authorise us to charge the applicable fees for the services included in your purchase. We will confirm your purchase by sending you a confirmation email or by providing the services directly to you.

3.3 Your Log-In Credentials

You are responsible for maintaining the confidentiality of your log-in credentials and are fully responsible for all activities that occur under your account. You are not allowed to pass on or to resell access to your account to others. Should you believe that the confidentiality of your log-in credentials has been compromised, or if you suspect unauthorised use of your account, you must notify us immediately. We will not be liable for any loss or damage arising from unauthorised use of your credentials. You agree to monitor your account to prevent access by anyone who does not meet the eligibility requirements outlined in Section 1.3, and you will accept full responsibility for any unauthorised use of the service by such individuals.

3.4 Your Account

Notwithstanding anything to the contrary herein, you acknowledge and agree that you shall have no ownership or other property interest in your account. You further acknowledge and agree that all rights in and to your account are and shall forever be owned by and accrue to the benefit of Miya. You may not sell, license, or otherwise transfer your account to any other individual or entity.

4. Warranty Disclaimer

If you are a Consumer based in the EU or UK, then you enjoy all legal rights granted to Consumers under applicable law, including the legal guarantee covering digital services described in EU Consumer law.

US specific: THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES OR ANY SERVICE’S CONTENT AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY ERRORS OR OMISSIONS, INFRINGEMENT OF THE RIGHTS OF ANY THIRD PARTY RESULTING FROM YOUR USE OF THE SERVICES, PERSONAL INJURY OR PROPERTY DAMAGE, UNAUTHORISED ACCESS TO OUR SERVERS, INTERRUPTION OF TRANSMISSION, OR BUGS, VIRUSES, OR THE LIKE WHICH MAY BE TRANSMITTED THROUGH THE SERVICES BY ANY THIRD PARTY.

5. Liabilities

You understand and agree that the Miya operator does not provide any warranty or guarantee, in express or implied form, including but not limited to the warranty or guarantee of merchantability, fitness for a particular purpose and non-infringement of the rights of others with respect to the Miya software and Services. Users shall use the Software and Services at their own risk.

Any content, information, etc. produced or published by users using Miya does not reflect or represent the views, positions or policies of the Miya operator, and the Miya operator does not assume any responsibility for this.

Under no circumstances shall the Miya operator be liable for any indirect, consequential, punitive, incidental or special damages. Unless otherwise expressly provided by law, the Miya operator’s total liability to the User, regardless of the cause or manner of conduct, shall not exceed the fees (if any) paid to the Miya operator by the User for the use of Miya during the six (6) month period prior to any cause of action arising.

You agree to indemnify, defend, release, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, from any claims made by any natural person or other third party in connection with the use, processing and storage of Your Content, or resulting from any of Your Content that you do not own or are not otherwise authorised to provide to us.

EU specific: we are unrestrictedly liable for damages that have been caused by deliberate intention or by gross negligence; in cases of slight negligence, we are only liable if we have infringed a fundamental duty. The aforementioned restrictions of liability do not apply to cases of damages to life, body, or health. For users of a free plan: we are not obligated to remedy a defect in the Service; if you suffered harm from a defect, we owe damages only if the defect was wilfully concealed by us.

6. Dispute Resolution and Arbitration

In the event of any dispute, claim, question, or disagreement arising from or related to your use of Miya’s services or these Terms (“Dispute”), you and Miya agree to use best efforts to settle the Dispute through good-faith consultation and negotiation.

If the Dispute is not resolved within thirty (30) days of informal dispute resolution, either party may initiate binding arbitration as the sole means to formally resolve claims. The arbitration will be conducted in Singapore in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC Rules”) then in effect, by one arbitrator appointed in accordance with said rules; the language of the arbitration shall be English; fees for the arbitrator shall be shared equally by the parties unless otherwise awarded; the award shall be final and binding. Any arbitration shall be limited to the Dispute between Miya and you individually; no class actions or representative proceedings. This arbitration agreement is governed by the laws of Singapore.

Exceptions: disputes concerning intellectual property rights, allegations of theft, piracy, invasion of privacy, or unauthorised use, and claims for injunctive relief are not subject to binding arbitration.

EU specific: if you are a resident of the EEA or Switzerland, these terms are governed by the laws of your country of residence and you can file legal disputes in your local courts. UK specific: these terms are governed by English law and you can file legal disputes in the English courts.

7. Copyright Complaints (DMCA)

Miya respects the intellectual property rights of others and expects its users to do the same. It is Miya’s policy to respond appropriately to clear notices of alleged copyright infringement that comply with the United States Digital Millennium Copyright Act (DMCA). If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible through our Service, please notify us at hello@miya.fm. Notices should substantially comply with the statutory requirements of the DMCA (identification of the work, the allegedly infringing material, your contact information, good-faith statement, and a signed statement of accuracy under penalty of perjury). Counter-notifications are handled per the DMCA. Miya has adopted a policy of terminating, in appropriate circumstances, users who are deemed to be repeat infringers.

8. General Terms

These Terms, along with the Privacy Policy and any service-specific addenda to which you consent, constitute the complete and exclusive understanding and agreement between you and Miya regarding your use of the Services. You may not assign or transfer these Terms or any rights hereunder without Miya’s prior written consent. Miya may assign these Terms at any time without your consent or notification. The failure by Miya to enforce any provision of these Terms at any time will not be deemed a waiver. In these Terms, the term “including” is used to mean “including, but not limited to.” If any portion of these Terms is found to be invalid or unenforceable, that portion will be enforced to the maximum extent permissible, and all other parts will remain in full force and effect.
